1. Agreement to Terms
These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," "your") and Gidsoft ("Company," "we," "us," "our"). By accessing and using the Gidsoft Service ("Service"), you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use the Service.
2. Description of Service
Gidsoft provides a platform that enables users to create and manage private knowledge bases. The Service allows you to store, organize, and query information from your own sources. The Service includes the ability to connect to external data sources (such as Google Sheets) to import and manage your data.
3. User Accounts
3.1 Account Creation
To use the Service, you must create an account with valid credentials. You are responsible for maintaining the confidentiality of your account information and password. You agree to provide accurate, complete, and current information during registration.
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited activities include, but are not limited to:
- Transmitting viruses, malware, or any code of destructive nature

You retain all rights to content you upload to your knowledge base ("User Content"). By using the Service, you grant Gidsoft a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display User Content solely for the purpose of delivering the Service to you.
5.3 License Grant
Gidsoft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal use. This license does not permit you to modify, copy, distribute, or sell the Service.
6. User Content and Responsibility
You are solely responsible for User Content you store in your knowledge base. You represent and warrant that you own or have the necessary rights to all User Content and that it does not violate any third-party rights, laws, or regulations. Gidsoft is not responsible for User Content and does not endorse any opinions or statements made in User Content.
7. Data Privacy and Security
Your personal information and User Content are handled according to our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy. Gidsoft implements appropriate technical and organizational measures to protect your data, but no security system is impenetrable. You use the Service at your own risk.
8. Third-Party Services and Integration
The Service may integrate with or rely on third-party services (such as Google Sheets for data import). Your use of these third-party services is subject to their terms and privacy policies. Gidsoft is not responsible for third-party services, including their availability, accuracy, or security.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIDSOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, EVEN IF GIDSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The total liability of Gidsoft in connection with these Terms or your use of the Service shall not exceed the amount you have paid (if any) for the Service in the twelve months preceding the claim.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Gidsoft does not guarantee that the Service will be uninterrupted, error-free, or that any defects will be corrected.
11. Indemnification
You agree to indemnify, defend, and hold harmless Gidsoft and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your User Content, or your violation of these Terms.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting Gidsoft. Upon termination, your account and associated data will be deleted in accordance with our data retention policy.
12.2 Termination by Gidsoft
Gidsoft may terminate or suspend your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or engaged in prohibited activities.
13. Modifications to the Service
Gidsoft reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any such modifications or discontinuation. We will attempt to provide notice of significant changes.
14. Modifications to Terms
Gidsoft may modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, when necessary, by email or through the Service. Your continued use of the Service after changes constitutes your acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws applicable to the jurisdiction where Gidsoft is located, without regard to its conflict of laws provisions. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Gidsoft regarding the Service and supersede all prior negotiations, representations, and agreements.
